ROSEDALE GOLF & COUNTRY CLUBÕS 
ROSEDALE MENÕS GOLF ASSOCIATION
CONSTITUTION AND BY-LAWS
AMENDED

NOVEMBER 18, 2006

 

PURPOSE

 

The name of this non-profit association shall be Rosedale MenÕs Golf Association, or RMGA, and its purpose is to promote fellowship among its members through golf and related activities.

 

MEMBERSHIP

 

Any male golf member of Rosedale Golf & Country Club is eligible for membership in RMGA by making application and paying the annual dues. The elected officers shall determine the annual dues. The annual meeting of members and the election of officers shall be held during November and shall be open to all members of RMGA in good standing. The Board of Directors, by majority vote, may censure or suspend any member for just cause.

 

OFFICERS

 

Officers shall be President, Vice President, Secretary, and Treasurer.

 

STANDING COMMITTEES

 

Following are those standing committees supporting the RMGAÕs activities:

 

Nominating Committee - to be appointed by the President. This committeeÕs function is to present a slate of officers for consideration by the membership.

 

Competition Committee - to be chaired by the Vice President and include the other officers of the RMGA along with volunteers from the general membership. This committeeÕs function is to staff and coordinate the activities of the following sub-committees:

 

Games & Formats Subcommittee - establish formats for RMGA events and publish a schedule of event games.

 

Greens Subcommittee - coordinate RMGA concerns on course condition and maintenance with Rosedale Golf & Country ClubÕs Golf Professional and Golf Course Superintendent.

 

Handicap Subcommittee - monitor membership compliance with USGA rules on handicaps and recommend any required policy on handicap compliance to the RMGA Board.

 

Rules Subcommittee - monitor membership compliance with the USGAÕs Rules of Golf and Rosedale Local Rules and recommend related policy issues to the RMGA Board. Also, work with Rosedale Golf & Country ClubÕs Professional on any local rule changes.

 

BOARD OF DIRECTORS

 

The elected officers shall serve on the Board. The Board shall meet every two months or at the discretion of the President or as called for by a majority of the Board. The Board shall review and approve the annual budget as submitted by the Treasurer, shall establish operational procedures for RMGA, approve the disbursement of RMGA funds, and create committees as needed to assist in the management of RMGA. The Board may not impose any special assessment of the members except to fund the Hole In One Fund. RobertÕs Rules of Order shall prevail.

 

 

TERM OF OFFICE

 

Two officers shall be elected each year for terms of two years, January 1st of the first year through December 31st of the second year. One of these officers shall be elected as Vice President who will serve as Vice President during the first year of his term and as President during the second year of his term. There is no limitation on the number of terms a member may serve. A Nominating Committee appointed by the President shall present a slate of Officers to the members at the annual meeting. This slate shall be completed and posted on the bulletin board at least thirty days prior to the annual meeting. Within ten days after the slate is posted, any member who presents the signed endorsement of ten other members to the Nominating Committee shall have his name included on the posted slate. Election of Officers shall be at the annual meeting.

 

VACANCIES

 

The Office of President, should it become vacant during the term, shall be filled by the Vice President. All other vacancies shall be filled, for the balance of the vacating officerÕs term, by a majority vote of the Board.

 

DUTIES

 

The President shall preside at all meetings of the Board of Directors and general membership. He shall oversee the affairs of the association as prescribed by the by-laws.

 

The Vice President shall arbitrate grievances and preside at meetings when the President is absent. He shall assist the President as needed. He shall also serve as the President Select to serve as President during the second year of his term.

 

The Secretary shall record the minutes of all Board of Director and general membership meetings and post same on the bulletin board. He shall give advance notice of meetings by posting same on the bulletin board at least two weeks prior to the meeting.

 

Treasurer shall collect and disburse funds in accordance with established procedures. He shall keep a record of transactions in accordance with general accounting practices. He shall establish a checking account for RMGA funds. The President, Vice President, Secretary and Treasurer are authorized to sign checks on the checking account. One signature is required on all checks.

 

MEMBERSHIP ENTITLEMENTS

 

Membership in RMGA entitles members to participate in RMGA sponsored events. Members are automatically enrolled in the Hole In One Club. The RMGA will pay for one round of drinks purchased in the memberÕs name on the day he makes a hole in one. RMGA will make this payment directly to Rosedale Country Club. Should the Members Lounge be closed on the day the member gets his hole in one, drinks will be rescheduled for the next RMGA event day. No money will be paid directly to the member and the actual bar bill shall be paid, subject to limits set by the Board.

 

AMENDMENTS

 

The Constitution and Bylaws of the association may be changed by majority vote of the members. Any member may propose changes to the Constitution and Bylaws. Such proposal shall be submitted, in writing along with the signature of fifteen other RMGA members endorsing the proposal, to the Board for posting 30 days prior to the membership vote on the proposal.
